We would like to express our sincere gratitude to our shareholders for their continued support. Arent Corporation was newly listed on the Growth Market of the Tokyo Stock Exchange in March 2023.

We are a company that realizes true DX by systematizing the tacit knowledge that lies dormant in Japanese companies and launching it as a digital business. Currently, we are focusing on DX in the construction industry and are launching digital businesses with many clients in various areas such as design, construction, and maintenance management.

The construction industry is increasingly adopting a variety of new technologies, especially BIM, making it essential to update existing operations. Together with our clients, we will continue to create digital businesses that shine globally by riding this major trend and democratizing the tacit knowledge that lies dormant in Japanese companies.

Basic Stance on Corporate Governance

In accordance with our basic shareholder-oriented policy, we will develop a management control system and promote more efficient and speedy management in order to expand our earnings and increase our corporate value as our priority. At the same time, recognizing the responsibility of a corporation in society, we will contribute to society through various services and work to realize harmonious benefits for stakeholders surrounding the Company. Based on the above, in developing our business management system, we will promote the establishment of a monitoring system for business execution to ensure transparency and objectivity in our business activities, and disclose information in a timely manner.


Outline of the corporate governance system and reasons for adopting the system

The Company has established a General Meeting of Shareholders, Board of Directors, Board of Corporate Auditors, and Accounting Auditors, and has assigned an Internal Audit Manager to perform the role such as daily auditing operations. The Company has adopted the current structure because it believes that the governance system functions effectively and continuously enhances corporate value through the mutual cooperation of these respective bodies.

1. Criteria for Information Disclosure

We disclose information in accordance with the Financial Instruments and Exchange Act and other laws and regulations, as well as the rules on timely disclosure, etc. established by the Tokyo Stock Exchange (hereinafter referred to as "Timely Disclosure Rules"). Information disclosed in accordance with laws and regulations and the Timely Disclosure Rules is disclosed on TDnet (Timely Disclosure network) and EDINET (Electronic Disclosure for Investors' NETwork: an electronic disclosure system for disclosure documents such as securities reports based on the Financial Instruments and Exchange Law) and then posted on our website. 4. Silence Period

In order to prevent leaks of financial information and ensure fairness, the Company observes a silence period from the day following the last day of each quarter until the announcement of the relevant financial results. Even during the silence period, we will disclose information in a timely and appropriate manner as required by laws and regulations or the Rules on Timely Disclosure of Corporate Information.
